Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of the Magics Bot white-label RCS SMS reselling platform ("Platform," "Service," or "Magics Bot"). By accessing or using our Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use our Service.

1. Definitions

"Platform" refers to the Magics Bot white-label RCS SMS reselling platform, including all software, services, APIs, and related technologies.

"You," "Your," "Client," or "Customer" refers to the individual or entity entering into this agreement withMagics Bot.

"Reseller" refers to sub-accounts created by You within the Platform to manage your own customers.

"End User" refers to the final recipients of RCS SMS messages sent through the Platform.

"White-label" refers to the ability to rebrand the Platform with your own logo, colors, and domain name.

2. Service Description

Magics Bot provides a white-label platform that enables you to resell RCS (Rich Communication Services) and SMS messaging services under your own brand. The Platform includes:

  • White-label branding capabilities (logo, colors, custom domain)
  • Ability to create and manage unlimited reseller accounts
  • Unlimited user seats within your account
  • RCS messaging infrastructure and delivery
  • API access for integration and automation
  • Dashboard for account management and analytics

3. Account Registration and Access

3.1 Account Creation: You must provide accurate, current, and complete information during registration. You are responsible for maintaining the confidentiality of your account credentials.

3.2 Eligibility: You must be at least 18 years old and have the legal capacity to enter into binding contracts. If you are registering on behalf of a business, you represent that you have the authority to bind that entity to these Terms.

3.3 Account Security: You are solely responsible for all activities that occur under your account, including activities of resellers and users you create.

4. White-Label and Branding Rights

4.1 Branding License: Subject to compliance with these Terms, we grant you a limited, non-exclusive, non-transferable license to rebrand the Platform with your own logo, colors, and domain name.

4.2 Brand Responsibility: You are solely responsible for your brand, trademarks, and any customer relationships established under your brand name. Magics Botassumes no liability for your branding or customer interactions.

4.3 Prohibited Branding: You may not use branding that infringes on third-party intellectual property rights, impersonates another entity, or is misleading, defamatory, or illegal.

5. Pricing and Payment

5.1 Software Fees: Magics Bot charges no software licensing fees. You only pay for message delivery based on usage.

5.2 Message Pricing: Message delivery costs are charged based on our current pricing schedule, which may vary by destination, carrier, and message type (SMS or RCS).

5.3 Payment Terms: Payment terms will be agreed upon during onboarding. You must maintain sufficient account balance or valid payment methods for uninterrupted service.

5.4 Price Changes: We reserve the right to modify pricing with 30 days' written notice. Continued use of the Service after price changes constitutes acceptance.

5.5 Taxes: All fees are exclusive of applicable taxes, which you are responsible for paying.

6. Reseller and User Management

6.1 Creating Resellers: You may create unlimited reseller accounts within the Platform. You are responsible for managing reseller access, permissions, and compliance with these Terms.

6.2 User Accounts: You may create unlimited user seats. Each user must comply with these Terms.

6.3 Reseller Liability: You are fully responsible for the actions of your resellers and their end users, including compliance with all applicable laws and regulations.

7. Acceptable Use Policy

You agree not to use the Platform to:

  • Send spam, unsolicited messages, or messages without proper consent
  • Violate any applicable laws, including TCPA, CAN-SPAM, GDPR, or other regulations
  • Send messages containing malicious content, viruses, or phishing attempts
  • Engage in fraudulent, deceptive, or misleading practices
  • Harass, threaten, or abuse recipients
  • Send messages related to illegal products or services
  • Interfere with or disrupt the Platform or carrier networks
  • Attempt to gain unauthorized access to the Platform or related systems
  • Resell or sublicense the Platform without explicit written permission

8. Compliance and Legal Requirements

8.1 Regulatory Compliance: You are solely responsible for ensuring that your use of the Platform complies with all applicable laws, including telecommunications regulations, privacy laws (GDPR, CCPA), and anti-spam legislation (TCPA, CAN-SPAM).

8.2 Consent Requirements: You must obtain and maintain proper consent from end users before sending messages. You must provide clear opt-out mechanisms in all messages.

8.3 Content Responsibility: You are solely responsible for the content of all messages sent through the Platform.

8.4 Registration Requirements: You are responsible for any required sender registrations with carriers or regulatory bodies (e.g., A2P 10DLC registration in the United States).

9. Data and Privacy

9.1 Data Processing: You acknowledge thatMagics Bot processes data on your behalf to provide the Service. Our data processing practices are detailed in our Privacy Policy.

9.2 Your Data Obligations: You must comply with all applicable data protection laws regarding the collection, use, and storage of end user data.

9.3 Data Security: We implement reasonable security measures to protect data. However, you acknowledge that no system is completely secure.

9.4 Data Retention: We retain message logs and account data as required by law and for operational purposes. You may request data deletion subject to legal and operational requirements.

10. Intellectual Property

10.1 Platform Ownership: Magics Bot retains all rights, title, and interest in the Platform, including all software, technology, and intellectual property.

10.2 Your Content: You retain ownership of your brand assets, logos, and message content. You grant us a license to use this content solely to provide the Service.

10.3 Feedback: Any feedback or suggestions you provide about the Platform may be used by us without obligation to you.

11. Service Level and Support

11.1 Availability: We strive to maintain high Platform availability but do not guarantee uninterrupted service. Scheduled maintenance will be communicated in advance when possible.

11.2 Support: Support services are provided as outlined in your service agreement. Response times may vary based on your plan and issue severity.

11.3 Third-Party Dependencies: Message delivery depends on carrier networks and third-party infrastructure. We are not liable for delays or failures caused by third parties.

12. Limitation of Liability

12.1 Disclaimer: THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

12.2 Limitation: TO THE MAXIMUM EXTENT PERMITTED BY LAW, Magics Bot SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO THESE TERMS OR THE PLATFORM.

12.3 Cap on Liability: OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE PLATFORM SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify, defend, and hold harmless Magics Bot, its affiliates, and their respective officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Platform
  • Your violation of these Terms
  • Your violation of any applicable laws or regulations
  • Content you send through the Platform
  • Your resellers or end users' actions
  • Any claim that your use infringes third-party rights

14. Termination

14.1 Termination by You: You may terminate your account at any time by providing written notice. You remain responsible for all charges incurred prior to termination.

14.2 Termination by Us: We may suspend or terminate your access immediately if you violate these Terms, engage in fraudulent activity, or fail to pay amounts due.

14.3 Effect of Termination: Upon termination, your access to the Platform will cease. You remain liable for all obligations incurred prior to termination. We may delete your data after termination subject to legal retention requirements.

15. Modifications to Terms

We may modify these Terms at any time. Material changes will be communicated via email or Platform notification at least 30 days before taking effect. Continued use of the Platform after changes become effective constitutes acceptance of the modified Terms.

16. Dispute Resolution

16.1 Governing Law: These Terms are governed by the laws of India, without regard to conflict of law principles.

16.2 Jurisdiction: Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in Indore, Madhya Pradesh, India.

16.3 Arbitration: For disputes involving amounts under ₹5,00,000, parties agree to attempt resolution through good-faith negotiation before pursuing legal action.

17. General Provisions

17.1 Entire Agreement: These Terms, along with our Privacy Policy and any service-specific agreements, constitute the entire agreement between you and Magics Bot.

17.2 Severability: If any provision is found unenforceable, the remaining provisions will remain in full effect.

17.3 Waiver: Failure to enforce any provision does not constitute a waiver of that provision.

17.4 Assignment: You may not assign these Terms without our written consent. We may assign these Terms without restriction.

17.5 Force Majeure: We are not liable for delays or failures due to causes beyond our reasonable control.
